Konica Minolta's compliance assurance system covers much more than legal requirements; it extends to corporate ethics and internal rules.

Konica Minolta's concept of compliance not only includes adherence to laws in Japan and around the world, but also extends to corporate ethics and internal rules. Based on this approach, in October 2003 when the Konica Minolta Group was created, the President and CEO of Konica Minolta Holdings, Inc. issued a Compliance Declaration, and established the Konica Minolta Group Conduct Guidelines. These guidelines place the highest priority on compliance for conduct in all corporate activities, as part of Group governance.


Konica Minolta Group Conduct Guidelines (excerpts)

Basic Approach
  1. We will observe all relevant laws and regulations, along with in-house rules and codes.
  2. We will respect social norms and will act in full awareness of corporate ethics, as well as common sense, so as to be accountable for our acts.
  3. We will seek to understand the Guidelines thoroughly, and to comply with them always.
  4. We will not violate the Guidelines under any circumstances, even to benefit the Company or increase profits, even if so instructed by our superiors; or if the Guidelines have long been violated by our predecessors and many other companies, or their violation has become industrial or national practice.
Products and Services
  • We will provide our customers with useful, safe and high-quality products and services. (Five other items under this article)
Fair Transactions
  • We will observe the Anti-Trust Act or its equivalent and carry out fair, transparent transactions, duly respecting free competition between enterprises. (10 other items under this article)
Export and Import Procedures/Regulations
  • We will abide by all relevant laws, regulations and in-house rules concerning export control, to ensure that our products and technologies cannot be misappropriated as tools that could threaten peace and security. (Two other items under this article)
Protection of Confidential Information and Intellectual Property
  • We will thoroughly protect the confidential information of both our Company and third parties, in full recognition of the importance of confidentiality. (Four other items under this article)
Communication and Information Disclosure
  • We will actively disclose information in a fair and timely manner, including information whose disclosure is not required by laws/regulations. (Four other items under this article)

In addition, the Konica Minolta Group Conduct Guidelines stipulate corporate opposition to any illegal group or organization, respect for employees, and full compliance with in-house rules.

Compliance Promotion System

Our focus is group-wide compliance around the globe.

Even before Japan's new Company Law came into effect in May 2006, Konica Minolta had been building a compliance system in line with the law concerning the company-with-committees system. The President and CEO of Konica Minolta Holdings, Inc. takes ultimate responsibility for Group compliance. The executive officer responsible for Group compliance, who is appointed by the Board of Directors of Konica Minolta Holdings, convenes the Group Compliance Committee, an advisory board comprising the chairpersons of compliance committees in the Group's business and common function companies (these chairpersons are the company presidents, in principle). Thus, a powerful compliance system has been created, in which ultimate responsibility is assigned to the top management at Konica Minolta Holdings and at each Group company. It is under this structure that the relevant departments at Konica Minolta Holdings provide direct and indirect support for, and coordinate the compliance activities of, all affiliates including those outside Japan. In the future, Konica Minolta will continue to promote compliance activities on a global level, while responding to the different laws, culture, and customs of the countries and regions in which we operate.
